List of statutory registers as per Companies Act, 2013

As per statutory registers companies act2013 every company whether private or public is required to maintain certain records and registers, to adhere to the statutory requirements and to ensure systematic operating of an organization. This is known list of statutory registers.

List of statutory registers to be furnished to ROC within specific time limits with prescribed fees as per statutory registers companies act 2013-

1. Register of the Company

Every company eligible to collect deposits must keep registers of deposits accepted and/or renewed for a period of 8 years at their registered office. All the information entered in this register must be authenticated by directors, secretary or such other authorized officer. This statutory registers under companies act 2013 excel format shall contain all the information regarding depositors.

2. Register of Members

Every company is required to maintain following statutory registers companies act 2013 containing information about its members-

- Separate registers for equity shares and preference share holders

- Register for debenture holders

- Register for any other security holder

- Name, Address, E-mail, PAN, UIN, CIN, occupation, nationality

- Date of membership commencement

- Date of membership cessation

- Other necessary details

3. Register of Directors and Key managerial personnel

Every Company is required to include in its list of statutory registers, a register containing information regarding the directors and KMP. Such statutory registerscompanies act 2013 shall contain details of security held by them in the company or its subsidiary, holding, associate companies or subsidiary of company’s holding company.

4. Register of Charges

Every company should maintain Register of Charges in the form no. CHG 7. Such statutory registers companies act 2013 must contain information regarding charges registered with the registrar on assets, property, company or undertaking along with acquired property which was subject to charges and also modification or satisfaction of any charge.

5. Register of Employee stock Options

Company shall maintain the register of employee stock options in the form no. SH 6. This statutory registers under companies act 2013 excel forrmat shall contain all the particulars regarding options granted. Information entered in this register must be authorized by company’s company secretary or such person authorized by board.

6. Register of shares/other securities bought back

Every company shall include in its list of statutory registers, a register of shares or others securities buy back in form SH 10. This statutory registers under companies act 2013 excel format shall contain following details-

- Description of shares or other securities bought-back

- Date of passing of special resolution for buy-back

- Date of approval of board

- Number and price of securities to be bought back

- Date of opening and closing of offer of buy-back

- Date of completion of buy-back

7. Register of Renewed and Duplicate share certificates

Company must also include in its list of statutory registers, Register of renewed and duplicate share certificates must be maintained in Form no. SH 2. Register shall contain information regarding each share certificate issued in exchange for certificates which are consolidated or sub-divided or certificates which are mutilated, defaced, old, torn or worn out or issued in lieu of destroyed or lost certificate.
