How long does it take to Register a Private Limited Company? Registration of private limited company is easy, thanks to the electronic submission of forms and applications. With the introduction of Central Registration Centre, it has become even more faster and easy. 

To Register a private limited company at least 2 shareholders an 2 directors are required as per Companies Act, 2013.

Obtain DSC and DIN

Before beginning the registration procedure, the first thing on the To Do list is to apply for a digital signature certificate (DSC) which will take around 2 business days.

After the DSC is obtained every director must apply for Director Identification Number (DIN) which will require 1 day.

Obtaining DIN is a quick process as the application is made online and approval from either of these professionals, viz. chartered accountant or cost accountant or company secretary is required.

One these professionals submit the documents, within a day they will receive DIN.

Name approval

This is where most of the time is consumed. Name approval is a big process and thus requires at least 5-6 business days. The application for name approval is submitted with the Registrar of Companies (ROC), jurisdiction in which company's registered office will be situated.

Promoters need to provide 6 alternative names in the order of preference for approval. The ROC will deliberate and check its validity as per Companies Act, 2013 and Companies (Incorporation) Rules, 2014. Once the name is approved by the Registrar, the final phase of company registration process will begin.

Obtain Certificate of Incorporation

To get a company registered it takes around 3-5 business days. This is the final step and it is here where the delay happens. There are various documents that need verification, viz. Memorandum of Association (MOA), Articles of Association (AOA), prospectus and other relevant documents.

If there are no discrepancies, the registration is done and ROC issues Certificate of Incorporation (COI). The date mentioned on it, is called the date of incorporation from which a company comes into existence.

On the whole if every step is completed in one go without any need of correction and revaluation then within 15-16 days your company will get registered.
